Every acquisition gets a post-mortem. Every large capital project gets one. A buyback gets none, for two reasons that are not negligence: nobody keeps the average price paid, because treasury executes against an authorization and no report asks for the price; and an authorization is a permission rather than a decision, so no alternative is ever attached to it. A decision with no recorded price and no recorded alternative cannot be reviewed, and so it is not. This pack computes what the program commits a year, against operating profit and at the company's own multiple; assembles the average price paid and marks the program at today's price; then computes what the same money would have earned inside at the return the company's own plan already assumes, subtracts whatever the repurchase gained, and adds what the company later paid to raise money back. It stops on five conditions: nobody recorded the average price paid, nobody has said what the money would have earned inside, nobody has said how long the program has run, nobody has said what the shares are worth today, and the raise has not been recorded either way.
What is the Capital Return Strategy Pack
The Capital Return Strategy Pack is a complete decision-support kit for one question: what did returning the capital cost against keeping it, and what did the company later pay to get money back? It is built around one organizing claim: a buyback is the largest capital decision most boards take and the only one that never gets a post-mortem. Sixteen files carry it: the foundations, a concept deck, a scored decision wizard, a capital return model blank and worked, the moves at each position, nine sourced capital returns, a fit worksheet, a roadmap template, a practitioner manual, a field checklist, and an orientation page.
The test that runs through every file
Returning capital formally claims the company can find nothing inside itself worth more than its own stock, and it is the only large capital decision that never gets a post-mortem — because nobody keeps the price paid and nobody wrote down the alternative. It is the argument in the deck, it becomes the wizard’s axes, it drives the model’s inputs, and it reappears as lines on the checklist. That is what makes 16 files a product rather than 16 documents.
The model resolves to one number you can negotiate with: The round trip — what returning it cost, and what getting it back cost. It ships blank and worked, and every input is a named cell rather than a figure buried inside a formula, so the number arrives with its assumptions attached rather than on its own authority.
Why a share buyback never gets a post-mortem
Two reasons, and neither is negligence. No one keeps the average price paid: treasury executes against an authorization and reports the amount spent, and no report asks for the price — so there is nothing to mark the program against. And an authorization is a permission rather than a decision, so no alternative is ever attached to it. A decision with no recorded price and no recorded alternative cannot be reviewed, while three acquisitions of the same period each get one.
This pack turns that into arithmetic. It assembles what the program committed per year, against operating profit and at the company's own multiple. It marks the program at today's price. Then it computes what the same money would have earned inside at the return the company's own plan assumes, subtracts whatever the repurchase gained, adds what was later paid to raise money back, and returns the round trip.
What is in the Capital Return Strategy Pack
- Foundations. The framework: what a buyback formally claims, why it is never reviewed, the round trip, and the five halts.
- Concept deck. Twenty-two slides for a board or capital allocation session, with nine sourced capital returns and what each does not establish.
- Decision wizard. Eight scored questions returning the band, the weakest answer, and either of the two halt conditions.
- Capital return model. Eleven candidate internal returns across the columns, the program marked at today's price, and the round trip.
- Strategies and tactics. The moves at each of the four positions, what to do when the model halts, and four ways to make the next program cheaper to judge.
- Case studies. Nine sourced capital returns — one that appeared in a congressional finding, one with its price on the record that ended in Chapter 11, one announced instead of a takeover.
- Fit worksheet. The single page of record: what was returned, the price paid, the alternative, the raise and the round trip.
- Roadmap template. Five phases with gates and owners, the assumptions register, a trigger and a periodic reporting line.
- Practitioner manual. Assembling the average price, taking the internal return from the plan, marking the program, connecting the raise, six failure modes and their indicators.
- Field checklist. The one-pager that survives outside the binder.
- About the package. What each file does and the order in which to run them.
Who the Capital Return Strategy Pack is for
A chief financial officer about to propose the next authorization; a board member who has approved several and seen a total but never a rate; an audit committee chair who has noticed that acquisitions get reviewed and the larger decision does not; a treasurer who holds both halves of the round trip in different files; an investor asking what a company's capital policy actually claims about its own pipeline; and the adviser who would otherwise start from a blank page. It is worth buying when a real decision is in front of you. It is not worth buying to read.
An honest note on fit
This is a kit for running a decision, not a research report and not a forecast. Worked examples use an explicitly fictional company with numbers tuned to teach rather than to flatter. In the worked case $4.2bn was returned over five years at an average of $86 a share against $104 today, a gain of $879m. The same money at the company's own 11% assumption would have earned $2,877m, so the program lost $1,998m against the alternative; $135m paid on $1.5bn raised since brings the round trip to $2,133m, or two years of operating profit.
Three limits are stated on the page rather than worked around. The model does not price the signaling effect — an announcement moves a share price and a suspension moves it further. It does not distinguish a buyback from a dividend beyond noting that only the first buys something at a price. And it will score a repurchase bought for control rather than for value badly and be wrong: Bloomberg's $4.425bn is in the evidence precisely because no internal rate of return would ever have justified it.

Questions about the Capital Return Strategy Pack
- What number does the model produce?
- Four. What the program commits a year, against operating profit and at your own multiple; the program marked at today's price and the gain or loss on it; what the same money would have earned inside at the return your plan assumes; and the round trip — that difference plus whatever you later paid to raise money back. The Model tab sweeps candidate internal returns rather than prices, so the answer is a column you can point at, and the useful question about that column is where your own plan's assumption sits relative to it.
- Are you saying buybacks are bad?
- No. Two of the four readings say the program was right, and the model produces them as readily as the other two. A company with genuinely nothing to fund should return the money. What is being tested is whether the comparison was ever made.
- Our shares are up. Isn't that the answer?
- It is half of one. The money could have stayed in the business, compounding at whatever your own plan assumes on incremental capital. The worked example in this pack is up 21% on what it paid per share and still cost the company $2.1 billion, which is the shape the pack exists to make visible.
- Are the case studies real companies?
- Yes. Nine sourced capital returns: Boeing, Sears, Novo Nordisk, Kroger, Mondelez, Unilever, Medtronic, Bloomberg, and Tencent. Each is dated, read through what was returned, what it was chosen over and what it cost to get back, and each states what its evidence does not establish. Only one of the nine has its average price on the public record, and that is itself the finding. The worked model, wizard, and worksheet use an explicitly fictional company, labeled as such on every file.
- We have never had to raise money back. Is this still useful?
- Yes, and that is the best reading the model produces — the round trip is unpaid. The pack treats it as something to protect rather than to celebrate, because every company in its evidence that ended up raising had been in exactly that position first, and none of them had written down what would change it.
- Is this a subscription?
- No. One payment, one download, sixteen files, yours to keep and to use inside your organization under the license included in the pack.

- Who is the Capital Return Strategy Pack for?
- Anyone who has to make this call and answer for it: an operator or owner facing the decision, the executive team running it, the board or investor testing the reasoning, or an adviser who would otherwise build the framework from a blank page. It is worth buying when a real decision is in front of you. It is not worth buying to read.
